Terms of Service

1. Agreement to Terms

By accessing or using VFX Buddy ("Service"), operated by VFX Buddy LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

VFX Buddy provides AI-powered video processing services, specifically rotoscoping and mask generation for video footage. Users upload video clips, and the Service generates PNG mask sequences for use in video editing software.

3. Account Registration

To use the Service, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 18 years old to use the Service.

4. Subscriptions and Payment

The Service is offered on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. Subscriptions renew automatically unless canceled before the renewal date. Subscription fees are non-refundable, and no partial refunds are provided for unused portions of a billing period.

Tokens included with your subscription do not roll over to subsequent billing periods. Unused tokens expire at the end of each billing cycle.

5. Acceptable Use

You agree not to:

• Upload content you do not have rights to process
• Upload illegal, harmful, or obscene content
• Attempt to reverse engineer or exploit the Service
• Use the Service to create deepfakes or misleading content
• Resell access to the Service without authorization
• Interfere with or disrupt the Service's infrastructure

We reserve the right to suspend or terminate accounts that violate these terms.

6. Content and Intellectual Property

You retain all rights to the video content you upload. By uploading content, you grant us a limited license to process your content solely for the purpose of providing the Service. We do not claim ownership of your content.

The masks and outputs generated by the Service are derivative works of your original content. You own the outputs generated from your content. All other intellectual property related to the Service, including the software, algorithms, and branding, remains our property.

7. Data Retention

Uploaded videos and generated masks are retained for 30 days after job completion to allow for download. After this period, content is permanently deleted from our systems. We recommend downloading your outputs promptly.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Processing times vary based on video length, complexity, and system load. We do not guarantee specific turnaround times. The Service is provided "as is" without warranties of any kind.

9. Limitation of Liability

To the maximum extent permitted by law, VFX Buddy LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless VFX Buddy LLC from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these terms.

11. Modifications to Terms

We may update these terms at any time. Continued use of the Service after changes constitutes acceptance of the modified terms. Material changes will be communicated via email or through the Service.

12. Termination

You may cancel your subscription at any time through your account settings or the Stripe billing portal. Upon cancellation, you will retain access to the Service until the end of your current billing period, after which your subscription will not renew.

We may terminate or suspend your access immediately and without notice for violations of these terms. In cases of termination for cause, no refund will be provided.

13. Governing Law

These terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Colorado.
